These Terms of Service ("Terms") govern your access to and use of the websites, landing pages, forms, and online services operated by Westhaven Power, including Westhaven Inc. and related Westhaven Power operations ("Westhaven Power," "we," "us," or "our"), including options.westhavenpower.com, start.westhavenpower.com, and any other site that links to these Terms (collectively, the "Site").

Please read these Terms carefully. They include an arbitration provision and a class action waiver that affect your legal rights. By accessing or using the Site, or by submitting a request for options or any other information through the Site, you agree to these Terms.

1. Acceptance of These Terms

By accessing or using the Site, submitting a form, requesting solar or energy options, downloading a guide, or otherwise interacting with us through the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not use the Site or submit information through it.

We may revise these Terms from time to time as described in the "Changes to These Terms" section below. Your continued use of the Site after we post changes means you accept those changes.

2. Who We Are

3. What the Site Is — and Is Not

The Site is an informational and lead-generation tool. It lets you learn about Westhaven Power, answer a few questions about your home and energy usage, and ask us to contact you with information about your solar, battery, and backup power options.

Submitting a form or requesting options through the Site is a request to be contacted. It is not a purchase, a contract, a binding offer, an application for financing, or a guarantee that we can or will provide any product, service, price, incentive, or financing. Any purchase of products or services from Westhaven Power will be governed by a separate written agreement that you sign, which will control in the event of any conflict with these Terms or with information on the Site.

Nothing on the Site constitutes an offer to sell, or a solicitation of an offer to buy, any product or service in any jurisdiction where such an offer or solicitation would be unlawful.

4. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use the Site or submit information through it. The Site is intended for homeowners and prospective customers located in the areas we serve in the United States. By using the Site, you represent that you meet these requirements and that the information you provide is accurate and belongs to you, or that you are authorized to provide it.

5. Estimates, Options, and No Guarantee of Savings

Any options, estimates, ranges, illustrations, sample savings, production figures, payback periods, incentive amounts, tax credit information, or financing scenarios presented on the Site or in our communications are for general informational and illustrative purposes only. They are based on assumptions and third-party data and are not a promise, quote, guarantee, or commitment.

Actual results depend on many factors specific to your home and situation, including your roof, shading, orientation, energy usage, utility rates and rules, equipment selected, applicable laws, permitting, interconnection, credit approval, and program availability. Tax credits, rebates, and incentives are subject to eligibility requirements and change without notice, and we do not guarantee that you will qualify for any of them.

Only a written proposal and signed agreement provided after a site evaluation reflect the actual scope, pricing, and terms of any project. You should consult your own advisors regarding your specific circumstances.

When you submit your phone number or email address through the Site, you agree that Westhaven Power and its authorized representatives may contact you about your request and related Westhaven Power offerings by email, phone call, and text message at the contact information you provide, including through the use of an automatic telephone dialing system, autodialer, and/or prerecorded or artificial voice messages, even if your number is on a state or federal Do Not Call list.

Consent to receive these communications is not a condition of purchasing any goods or services, and it is not required to submit your request or receive your options. Message and data rates may apply. Message frequency may vary. You can opt out of text messages at any time by replying STOP, and you can opt out of marketing emails using the unsubscribe link. 7. No Professional Advice

Information on the Site is provided for general purposes and does not constitute financial, tax, legal, insurance, engineering, or other professional advice. We are not your financial, tax, or legal advisor. You are responsible for evaluating your own situation and should consult qualified professionals before making decisions about solar, storage, financing, or tax matters.

8. Intellectual Property

The Site and its contents — including text, graphics, logos, brand names, images, photographs, video, layout, design, and software — are owned by or licensed to Westhaven Power and are protected by copyright, trademark, and other laws. "Westhaven Power" and our logos are our trademarks and may not be used without our prior written permission.

9. Limited License and Acceptable Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your own personal, non-commercial purpose of learning about and requesting our products and services. You agree not to:

The Site may contain links to, or make use of, third-party websites, platforms, and services, including advertising and analytics providers (such as Meta and Google), financing, lease, and PPA partners, lenders, utilities, and other providers. We do not control and are not responsible for the content, products, services, or practices of third parties. Your use of third-party sites and services is subject to their own terms and policies, and any dealings you have with a third party (including any financing partner) are solely between you and that third party.

11. Privacy

Your use of the Site and any information you provide are subject to our Privacy Policy, which explains how we collect, use, disclose, and protect personal information, including our use of cookies, pixels, advertising technologies, and your California privacy rights. By using the Site, you acknowledge our Privacy Policy.

12. Disclaimers of Warranties

THE SITE AND ALL CONTENT, MATERIALS, AND INFORMATION ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, secure, error-free, or free of viruses or other harmful components, or that any information on the Site is accurate, complete, current, or reliable. This section does not affect any warranties that may apply to products or services under a separate signed agreement, or any rights you have under applicable law that cannot be waived.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WESTHAVEN POWER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

14. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Westhaven Power and its officers, directors, employees, agents, and representatives from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or relating to your use of the Site, your violation of these Terms, your violation of any law, or your infringement of any right of a third party.

15. Governing Law

These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Subject to the arbitration provision below, you agree that any dispute not subject to arbitration will be brought exclusively in the state or federal courts located in or serving Sutter County, California, and you consent to the personal jurisdiction and venue of those courts.

16. Dispute Resolution; Binding Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

Most concerns can be resolved quickly by contacting us at team@westhavenpower.com. If we cannot resolve a dispute informally, you and Westhaven Power agree that any dispute, claim, or controversy arising out of or relating to the Site or these Terms will be resolved by binding individual arbitration rather than in court, except as noted below. The arbitration will be administered by a recognized arbitration provider under its consumer arbitration rules, and judgment on the award may be entered in any court with jurisdiction. This provision is governed by the Federal Arbitration Act.

Class Action Waiver. You and Westhaven Power agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of class or representative proceeding.

Exceptions. Either party may bring an individual claim in small-claims court if it qualifies, and either party may seek injunctive or other equitable relief in court to protect its intellectual property or confidential information. Nothing in this section waives any right you have to submit complaints to a government agency.

Your Right to Opt Out. You may opt out of this arbitration provision by sending written notice to team@westhavenpower.com within 30 days after you first accept these Terms, stating your name and that you opt out of arbitration. Opting out will not affect any other part of these Terms.

If the class action waiver is found unenforceable as to a particular claim, that claim will proceed in court, but the rest of this section will remain in effect.

17. Changes to These Terms

We may update these Terms from time to time. When we make changes, we will update the "Last Updated" date above. Material changes may be communicated through additional notice where required by law. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.

18. Miscellaneous

These Terms, together with our Privacy Policy and any separate signed agreement for products or services, constitute the entire agreement between you and Westhaven Power regarding the Site. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, financing, reorganization, or sale of assets.
